This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Fusioneta Sdn Bhd ("Fusioneta") for the Bitrix24 to Xero Integration software application ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms and conditions of this Agreement.

1. License Grant
Subject to the terms of this Agreement, Fusioneta grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business purposes in connection with your Bitrix24 account and your authorized Xero account.

2. Restrictions
You agree that you shall not:
a. No Reverse Engineering
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where such restriction is prohibited by applicable law.
b. No Redistribution
Sell, sublicense, distribute, rent, lease, or make the Software available to any third party without prior written consent from Fusioneta.
c. No Modifications
Modify, adapt, translate, or create derivative works based on the Software.
d. Proper Use & Compliance
Use the Software in violation of any applicable laws, regulations, Bitrix24 terms, or Xero terms, including but not limited to accounting, tax, and data protection regulations.

3. Ownership
The Software is licensed, not sold. Fusioneta retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set forth in this Agreement.

4. Data Processing, Security, and Privacy
The Software facilitates the synchronization of data from Bitrix24 to Xero as initiated by the User.
Fusioneta does not own or control your business data. You acknowledge and agree that:
a. You are responsible for the accuracy and legality of data synchronized
b. You must maintain the confidentiality of your Bitrix24 and Xero credentials
c. You must ensure proper user access rights within Bitrix24 and Xero
d. You must obtain all necessary consents for data processing and synchronization
e. You must comply with applicable data protection and privacy laws
Fusioneta implements reasonable technical measures to protect the Software but does not guarantee uninterrupted or error-free synchronization.

5. Termination
This Agreement is effective until terminated.
Fusioneta may terminate this Agreement immediately if you breach any provision of this Agreement. Upon termination:
a. You must cease all use of the Software
b. Your license rights under this Agreement will immediately end
c. You remain responsible for exporting or retaining your data from Bitrix24 or Xero
Fusioneta is not responsible for data loss resulting from termination or third-party platform actions.

6. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSIONETA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Fusioneta does not warrant that the Software will meet your requirements or that synchronization will be uninterrupted or error-free.

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUSIONETA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
• Loss of profits
• Loss of data
• Business interruption
• Accounting or reconciliation discrepancies
ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF FUSIONETA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Third-Party Services
The Software integrates with third-party services, including Bitrix24 and Xero. Fusioneta is not responsible for:
• Changes to third-party APIs or services
• Downtime, limitations, or errors caused by Bitrix24 or Xero
• Enforcement of third-party terms and conditions
Your use of Bitrix24 and Xero is subject to their respective terms of service.

9. Support and Updates
Fusioneta may provide updates, enhancements, or bug fixes to the Software at its discretion. Support availability and response times, if any, are governed by your separate service or support agreement with Fusioneta.

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.

11. Entire Agreement
This Agreement constitutes the entire agreement between you and Fusioneta regarding the Software and supersedes all prior or contemporaneous agreements, communications, or understandings, whether written or oral.

12. Changes to this Agreement
Fusioneta reserves the right to modify this Agreement at any time. If changes are material, Fusioneta will provide reasonable notice prior to the changes taking effect. Continued use of the Software constitutes acceptance of the revised Agreement.
