APPRaizzie - performance review APplication
End-User License Agreement (EULA)
1. License Grant
Subject to the terms of this Agreement, Fusioneta grants you a limited, non-exclusive, non-transferable license to install and use the Appraizzie software for your business purposes on devices owned or controlled by your organization.
2. Restrictions
a. No Reverse Engineering: You may not reverse engineer, decompile, or disassemble the Appraizzie software, except and only to the extent that such activity is expressly permitted by applicable law.
b. No Redistribution: You may not redistribute, sell, sublicense, rent, lease, or lend the Appraizzie software to any third party.
c. No Modifications: You may not modify, adapt, translate, or create derivative works based upon the Appraizzie software.
d. Data Protection: You agree to use the Software in compliance with all applicable data protection and privacy laws, particularly in relation to employee performance data.
3. Ownership
The Appraizzie software is licensed, not sold, to you for use solely under the terms of this Agreement. Fusioneta retains all right, title, and interest in and to the Appraizzie software, including all intellectual property rights therein.
4. Data Security and Privacy
Fusioneta implements reasonable security measures to protect employee performance data processed through the Software. However, you are responsible for:
a. Maintaining the confidentiality of your account credentials
b. Ensuring appropriate access controls within your organization
c. Obtaining necessary consents from employees for data processing
d. Complying with applicable data protection regulations
5. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Fusioneta if you fail to comply with any term(s) of this Agreement. Upon termination:
a. You shall cease all use of the Appraizzie software
b. Destroy all copies, full or partial, of the Software
c. You may export your data within 30 days of termination
6. Warranty Disclaimer
THE APPRAIZZIE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUSIONETA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE APPRAIZZIE SOFTWARE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
7. Limitation of Liability
IN NO EVENT SHALL FUSIONETA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE APPRAIZZIE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
8. Support and Updates
Fusioneta may provide updates or upgrades to the Software at its discretion. Technical support availability and terms will be specified in your service agreement.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflicts of laws principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between you and Fusioneta regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
11. Changes to this Agreement
Fusioneta reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, Fusioneta will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Fusioneta's sole discretion.
